Terms & Conditions
These terms govern your use of givata.com and any services provided by Givata, an independent AI automation practice operated by David ("Givata", "we", "I"). By using the site or engaging my services, you agree to these terms.
The services
Givata designs and builds AI automations, custom applications, and AI agents, and provides related consulting. The specific scope, deliverables, timeline, and price for any project are set out in a separate written proposal or agreement, which takes precedence over these terms if they conflict.
Proposals & payment
- Quotes are valid for 30 days unless stated otherwise.
- Fees, deposits, and payment schedule are defined in the project agreement.
- Invoices are due as stated on the invoice. Late payment may pause active work.
Your responsibilities
- Provide timely access, information, and approvals needed to do the work.
- Ensure you have the right to grant access to any accounts, data, or systems you share.
- Maintain your own subscriptions to third-party platforms (for example Zapier, n8n, hosting, or model providers) that your automation depends on.
Intellectual property
On full payment, you own the custom deliverables built specifically for you. I retain the rights to my pre-existing tools, general know-how, and reusable components, and grant you a license to use them as part of your deliverables. I may describe the general nature of the work in a portfolio unless we agree otherwise in writing.
Third-party platforms & AI
Automations and apps often run on third-party services and AI models that I don't control. Their availability, pricing, and terms are theirs, not mine. AI systems can produce incorrect or unexpected output; where accuracy matters, deliverables include appropriate review steps, but you are responsible for how you use the output in your business.
Warranty & support
I build each project with care and test it against agreed cases. Unless stated otherwise, work is provided "as is" after the agreed acceptance and support period. Ongoing maintenance or retainers are available separately.
Limitation of liability
To the extent permitted by law, Givata's total liability arising from a project is limited to the fees you paid for that project. I'm not liable for indirect or consequential losses, lost profits, or losses caused by third-party platforms or your own use of a deliverable.
Confidentiality
Each side agrees to keep the other's non-public information confidential and to use it only to carry out the work. This survives the end of the engagement.
Termination
Either party may end an engagement with written notice as described in the project agreement. You'll be billed for work completed up to that point, and I'll hand over completed, paid-for deliverables.
Governing law
These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules.
